Results of Special General Meeting in connection with the proposed Scheme and applications for admission of Nostrum Oil & Gas plc to listing on the premium listing segment of the Official List of the FCA and to trading on the London Stock Exchange’s Main Market
On 20 May 2014, the Directors of Nostrum Oil & Gas LP (the “Partnership”), an independent oil and gas exploration and production company with assets in north western Kazakhstan, posted a Scheme Document to its existing security holders to approve among other things a new corporate structure (the “Scheme”), as described in the Scheme Document, and admission to listing on the premium listing segment of the Official List and to trading on the London Stock Exchange’s main market (“Admission”) of a public limited liability company newly incorporated in England and Wales, namely Nostrum Oil & Gas plc (the “Company”), which will be the new holding company for the business of the Partnership and its subsidiary undertakings (together, the “Group”).
The Partnership is pleased to announce that on 17 June 2014 the limited partners of the Partnership duly passed all proposed resolutions at the special general meeting of limited partners (the “Special General Meeting”).
The resolutions passed by the limited partners included a resolution to approve the Scheme and special resolutions to approve the amendment to the limited partnership agreement (to permit implementation of the Scheme) and the dissolution of the Partnership.
The results of the voting were as follows:
To approve the scheme
To amend the limited partnership agreement
To approve the dissolution of the partnership

The Partnership and the Company now propose to undertake the implementation of the Scheme and the reorganisation of the Group in preparation for Admission.
The anticipated timetable of the remaining principal events required to implement the Scheme and for Admission are set out in the Scheme Document posted to Existing Security Holders on 20 May 2014 and in the Prospectus published by the Company on 20 May 2014, both of which are available on the website of the Partnership at www.nostrumoilandgas.com and of the Company at www.nog.co.uk.
